Increase in the NZZ’s stake in APG|SGA completed

Aktiengesellschaft für die Neue Zürcher Zeitung (NZZ), which previously held a 25 per cent stake in the share capital of APG|SGA AG, has completed the announced increase in its stake through the acquisition of blocks of shares from JCDecaux SE and Pargesa Asset Management S.A. and now holds a 45 per cent stake in the company.

NZZ, JCDecaux SE and Pargesa Asset Management S.A. have informed the Company that on 30 April 2026 they completed the acquisition by NZZ of blocks of shares from JCDecaux SE and Pargesa Asset Management S.A. The relevant purchase agreements were concluded on 11 December 2025 and publicly announced on 12 December 2025. As a result, NZZ now holds 45 per cent of the Company’s share capital. It is exempt from the obligation to make a takeover bid to all shareholders in accordance with the new provision in the Articles of Association regarding a so-called selective ‘opting-up’ mechanism, which was adopted at the extraordinary general meeting on 23 January 2026, provided it does not exceed the threshold of 49 per cent of the voting rights. NZZ has acquired shares totalling 20 per cent in two transactions from the sellers, JCDecaux SE and Pargesa Asset Management S.A.
